Terms of Service

Welcome to Origin8. These Terms of Service (“Terms”) govern your access to and use of the Origin8 platform operated by Origin8 Finance Pty Ltd (ABN XX XXX XXX XXX) (“Origin8”, “we”, “us”, or “our”).

By creating an account or using the Platform, you agree to be bound by these Terms. If you do not agree, please do not use the Platform.

1. Platform Description

Origin8 is a technology platform that connects private lenders, mortgage brokers, and borrowers. The Platform provides tools for listing loan opportunities, making and receiving offers, managing loan documentation, and tracking loan performance.

Origin8 is a technology platform, not a financial services provider. We do not provide financial advice, credit advice, or investment recommendations. We do not act as a fund manager, lender, or credit provider. All lending decisions are made independently by users of the Platform.

Origin8 does not hold an Australian Financial Services Licence (AFSL) and is not required to do so. The Platform facilitates introductions and provides tools — it does not manage money, provide credit, or make lending decisions on behalf of any party.

2. Definitions

In these Terms:

  • “Platform” means the Origin8 website, application, and related services.
  • “Lender” means a user registered as a lender on the Platform.
  • “Broker” means a user registered as a mortgage broker or loan introducer.
  • “Borrower” means a person or entity seeking finance through a deal listed on the Platform.
  • “Deal” means a loan opportunity listed on the Platform.
  • “Offer” means indicative lending terms submitted by a Lender in response to a Deal.
  • “Deal Profile” means Origin8’s proprietary deal deal verification system.

3. Account Registration

To use the Platform, you must:

  • Be at least 18 years of age.
  • Provide accurate and complete registration information.
  • Maintain the security of your account credentials.
  • Complete our verification process before transacting.

We reserve the right to refuse registration, suspend, or terminate accounts at our discretion, including where we believe information provided is inaccurate or a user has breached these Terms.

4. User Obligations

All users agree to:

  • Use the Platform lawfully and in accordance with these Terms.
  • Not provide false, misleading, or incomplete information.
  • Not use the Platform for any fraudulent or illegal purpose.
  • Not attempt to circumvent the Platform to transact directly with parties introduced through Origin8 (for a period of 12 months after introduction).
  • Maintain current and accurate profile information.
  • Comply with all applicable laws, including the Anti-Money Laundering and Counter-Terrorism Financing Act 2006 (Cth).

5. Lender Acknowledgments

By using the Platform as a Lender, you acknowledge and agree that:

  • You make your own credit decisions. Origin8 does not assess borrower creditworthiness on your behalf. Deal Profile data are informational tools only and are not credit advice.
  • You are responsible for conducting your own due diligence before making any lending decision.
  • Private lending carries inherent risks, including the risk of default and loss of capital.
  • Origin8 does not guarantee the accuracy of information provided by Brokers or Borrowers.
  • You have sufficient experience, knowledge, and resources to evaluate the merits and risks of each deal.
  • You are lending in your own capacity (or your entity’s capacity) and not as a managed investment scheme.

6. Broker Obligations

By using the Platform as a Broker, you represent and warrant that:

  • You hold a valid Australian Credit Licence (ACL) or are an authorised representative of an ACL holder.
  • All deal information you provide is accurate, complete, and not misleading.
  • You have obtained all necessary consents from Borrowers to list deals and share information on the Platform.
  • You comply with the National Consumer Credit Protection Act 2009 (Cth) and all responsible lending obligations.
  • You will respond to Offers and communications in a timely manner.

7. Borrower Obligations

By using the Platform (directly or through a Broker) as a Borrower, you agree to:

  • Provide accurate financial information.
  • Consent to the staged disclosure of your information in accordance with our Privacy Policy.
  • Meet all loan obligations once a deal is settled.
  • Notify your Broker of any material changes to your financial circumstances.

8. Fees and Payments

Origin8 charges fees for use of the Platform. Current fees include:

  • Lender Subscription: Monthly subscription fee based on tier (Standard, Professional, Enterprise).
  • Broker Subscription: Monthly subscription fee for deal listing and management tools.
  • Platform Fee: A monthly platform fee charged on each active loan, capitalised at settlement.
  • Legal Fee: A fixed legal fee per deal, covering document preparation and settlement facilitation.

Fees are displayed in Australian dollars and include GST where applicable. We may change fees with 30 days’ notice. Changes do not affect existing settled loans.

9. Intellectual Property

All content, features, and functionality of the Platform (including Deal Profile, user interfaces, and proprietary algorithms) are owned by Origin8 and protected by Australian and international intellectual property laws. You may not copy, modify, or distribute any part of the Platform without our prior written consent.

10. Privacy

Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Platform, you consent to our collection and use of information as described in the Privacy Policy.

11. Disclaimers

To the maximum extent permitted by law:

  • The Platform is provided “as is” without warranties of any kind, express or implied.
  • Origin8 does not warrant that the Platform will be uninterrupted, error-free, or secure.
  • Deal Profile data, property valuations, and other data-driven features are informational tools only and should not be relied upon as the sole basis for any decision.
  • Origin8 is not responsible for the conduct, actions, or omissions of any user.
  • Origin8 does not guarantee that any deal will be funded, settled, or repaid.

12. Limitation of Liability

To the maximum extent permitted by Australian Consumer Law, Origin8’s total liability to you for any claims arising from or related to these Terms or the Platform is limited to the total fees paid by you to Origin8 in the 12 months preceding the claim.

Origin8 is not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunity, regardless of the cause of action.

13. Indemnity

You agree to indemnify and hold harmless Origin8, its directors, officers, employees, and agents from any claims, liabilities, damages, or expenses (including legal fees) arising from your use of the Platform, your breach of these Terms, or your violation of any law or third-party rights.

14. Termination

We may suspend or terminate your account at any time for breach of these Terms or for any other reason at our discretion. You may close your account at any time by contacting us. Termination does not affect any rights or obligations arising from transactions completed before termination.

15. Governing Law

These Terms are governed by the laws of the State of Victoria, Australia. You agree to submit to the exclusive jurisdiction of the courts of Victoria for any disputes arising from these Terms or your use of the Platform.

16. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or through the Platform. Your continued use of the Platform after changes take effect constitutes acceptance of the updated Terms.
